Terms of Service

1. Acceptance of Terms

By downloading, installing, or using TagVault ("the Software"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not install or use the Software.

2. License Grant

Subject to your compliance with these Terms, Jeff Marshall grants you a limited, non-exclusive, non-transferable, revocable license to install and use TagVault on macOS devices that you own or control, solely for your personal or internal business purposes.

3. License Restrictions

You may not:

Copy, modify, or distribute the Software or any portion thereof
Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software
Sell, sublicense, rent, lease, or transfer your license to any third party
Remove or alter any proprietary notices, labels, or marks on the Software
Use the Software for any unlawful purpose or in violation of any applicable laws

4. Trial Period

TagVault includes a 14-day free trial period beginning on the date of first installation. After the trial period expires, continued use of the Software requires purchase of a valid license. Trial use is subject to the same restrictions as a paid license.

5. License Keys

Upon purchase, you will receive a license key that activates the Software. License keys are:

Tied to the specific machine on which the Software is activated
Non-transferable and may not be shared with other users or devices
Valid for the version of the Software for which they were purchased

If you need to transfer your license to a new machine, contact jmarshall@consultant.com. Your existing key will be deactivated and a new key issued for the new device at no charge.

6. Updates and Upgrades

Your license entitles you to all minor updates (e.g., v1.1.x to v1.1.y) at no additional charge. Major version upgrades (e.g., v1.x to v2.x) may require purchase of an upgrade license at a discounted price for existing customers.

7. Intellectual Property

The Software, including all code, algorithms, interfaces, documentation, and branding, is the exclusive property of Jeff Marshall and is protected by copyright and other intellectual property laws. These Terms do not grant you any rights to trademarks, service marks, or trade names of Jeff Marshall or TagVault.

8. Third-Party Services

TagVault integrates with third-party services including MusicBrainz, Discogs, iTunes, Deezer, Last.fm, and AcoustID. Your use of these services is subject to their respective terms of service and privacy policies. Jeff Marshall is not responsible for the availability, accuracy, or content of third-party services.

9. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. JEFFERSON MARSHALL DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT ALL DEFECTS WILL BE CORRECTED.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JEFFERSON MARSHALL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR DAMAGE TO YOUR MUSIC LIBRARY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE, EVEN IF JEFFERSON MARSHALL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL JEFFERSON MARSHALL'S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Refund Policy

Jeff Marshall offers a 30-day money-back guarantee. If you are not satisfied with TagVault within 30 days of purchase, contact jmarshall@consultant.com for a full refund. Refunds will not be issued after 30 days from the date of purchase.

12. Termination

These Terms are effective until terminated. Your license will terminate automatically if you fail to comply with any provision of these Terms. Upon termination, you must cease all use of the Software and destroy all copies in your possession.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Los Angeles County, California.

14. Changes to Terms

Jeff Marshall reserves the right to modify these Terms at any time. Updated Terms will be posted at the product page and will take effect upon posting. Your continued use of the Software after any changes constitutes your acceptance of the new Terms.
